These Terms of Service (“Terms”) govern your access to and use of the services provided by Mona Saint, MD, A Medical Corporation, doing business as VitalityMD (“VitalityMD,” “Company,” “we,” “us,” or “our”), through the website located at https://vitalitymd.co, including any associated patient portals, scheduling tools, messaging features, forms, and related platforms (collectively, the “Site”), and the services offered through the Site (collectively, the “Services”).

By accessing or using the Site or Services, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree, you may not use the Site or Services.

1. Scope of Services and Medical Relationship

VitalityMD is a physician-owned professional medical corporation that provides medical services through licensed clinicians in accordance with applicable state and federal law. Services may include, but are not limited to, in-person clinical care, telehealth visits, diagnostic assessments, treatment planning, care coordination, and related administrative and support services.

All medical services provided by VitalityMD are individualized and based on each patient’s unique medical history, clinical findings, goals, and professional medical judgment. No services, recommendations, or treatment plans are standardized or guaranteed to be the same across patients.

Use of the Site alone does not establish a physician-patient relationship. A physician-patient relationship is established only after completion of required intake materials, informed consent, and acceptance by VitalityMD. Medical advice, diagnosis, and treatment are provided only within the context of such a relationship and are subject to separate informed consent documents, practice policies, and professional standards of care.

2. Optional, Personalized Care Programs

Following completion of an initial clinical intake and assessment, eligible patients may be offered the opportunity to enroll in optional, personalized, time-limited care programs designed to support ongoing treatment, monitoring, and care coordination (each, a “Care Program”).

Care Programs are customized to the individual patient based on clinical needs, preferences, goals, and professional medical judgment. Accordingly, Care Programs may vary significantly between patients in duration, scope, structure, pricing, and included services.

Any references to example program lengths or structures (including multi-month programs) are illustrative only and do not constitute a guarantee that any specific program term, pricing, or structure will be offered at any given time.

Care Programs:

  • Are optional and voluntary

  • Are not insurance and do not replace emergency or primary care

  • Do not guarantee outcomes, access, response times, or availability

  • Reflect reserved clinical capacity, individualized care planning, and coordination over a defined period

  • May be modified, paused, or discontinued by VitalityMD on a prospective basis

Enrollment in a Care Program does not alter or replace the underlying physician-patient relationship, which remains governed by applicable medical laws, informed consent documentation, and professional standards of care.

3. Fees, Billing, and Program Changes

Fees for medical services and Care Programs will be disclosed to you prior to enrollment. By enrolling in a Care Program or receiving Services, you authorize VitalityMD to charge the applicable fees as presented at the time of enrollment or service.

VitalityMD reserves the right to modify Care Program offerings, pricing, duration, or included services on a prospective basis, including to reflect changes in clinical approach, personalization, or operational considerations. Any such changes will not apply retroactively to services already rendered and will be communicated in advance when required by applicable law.

Failure to pay applicable fees may result in suspension or termination of participation in a Care Program, subject to applicable law and continuity-of-care obligations.

4. Cancellation; No Refunds for Care Programs

You may choose to discontinue participation in a Care Program at any time by providing written notice to VitalityMD. However, Care Program fees are charged in consideration of reserved clinical capacity, individualized care planning, coordination, and availability over the selected program term, not solely on a per-visit or per-service basis.

Accordingly, Care Program fees are non-refundable, and patients remain financially responsible for the full fee associated with the selected Care Program term, regardless of whether the patient elects to discontinue participation prior to the end of that term.

Discontinuation of a Care Program does not terminate the physician-patient relationship unless otherwise permitted or required by law. VitalityMD will continue to comply with applicable legal and ethical obligations regarding continuity of care.

Refunds will be issued only where required by applicable law. VitalityMD may, in its sole discretion, consider exceptions in extraordinary circumstances.

5. Telehealth Services and Consent

Certain Services may be provided via telehealth technologies. By using telehealth Services, you consent to the delivery of healthcare using electronic communications, video conferencing, and remote technologies.

You understand that telehealth has limitations, including technical failures, privacy risks, and the inability to perform certain physical examinations. You may withdraw consent to telehealth Services at any time by notifying VitalityMD; however, withdrawal of consent may affect your ability to receive certain Services.

6. Emergency Disclaimer

The Site, email, text messaging, messaging features, and telehealth Services are not intended for emergency care. If you believe you are experiencing a medical emergency, call 911 immediately or seek emergency medical attention.

7. Use of Services by Minors

The Services are not intended for use by individuals under the age of 18 without the supervision and verifiable consent of a parent or legal guardian.

A parent or legal guardian must provide consent on behalf of a minor and agree to these Terms, the Privacy Policy, and the Notice of Privacy Practices. If you are under 18 and do not have appropriate parental or legal guardian consent, you may not use the Site or Services.

8. Privacy and Health Information

VitalityMD’s collection, use, and disclosure of personal information and protected health information are governed by our Privacy Policy and Notice of Privacy Practices, which are incorporated by reference. In the event of a conflict, the Notice of Privacy Practices shall control with respect to protected health information.

9. Acceptable Use

You agree to use the Site and Services only for lawful, personal, and non-commercial purposes and not to interfere with the security, functionality, or integrity of the Site or Services.

10. Intellectual Property

All content, trademarks, logos, and materials on the Site are owned by VitalityMD or its licensors and may not be used, reproduced, or distributed without prior written consent.

11. No Warranties

THE SITE AND ALL NON-CLINICAL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, VITALITYMD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Information provided through the Site is for general informational purposes only and does not constitute medical advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITALITYMD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY NON-CLINICAL SERVICES.

VITALITYMD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR NON-CLINICAL SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO VITALITYMD FOR NON-CLINICAL SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) TWO HUNDRED DOLLARS ($200).

Participation in a Care Program does not guarantee availability outside normal clinical operations or response times.

Nothing in these Terms limits or excludes liability for medical malpractice, gross negligence, willful misconduct, or liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Mona Saint, MD, A Medical Corporation, dba VitalityMD, and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

(a) your violation of these Terms;
(b) your misuse of the Site or non-clinical Services;
(c) inaccurate, misleading, or unlawful information you submit;
(d) your violation of applicable law; or
(e) unauthorized use of another person’s account or information.

This indemnification obligation does not apply to claims arising solely from VitalityMD’s provision of medical services or professional negligence.

14. Arbitration Agreement and Class Action Waiver

Any dispute arising out of or relating to these Terms, the Site, or the Services shall be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Orange County, California, unless otherwise agreed.

You and VitalityMD waive the right to a jury trial and to participate in any class, collective, or representative action. Either party may bring an individual claim in California small claims court if eligible.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
